Services will be provided according to the terms specified in individual service agreements. We will use reasonable efforts to meet agreed timelines and deliverables.

5. Client Obligations

Clients agree to:

• Provide accurate and complete information necessary for service delivery
• Cooperate in good faith with our team
• Provide timely feedback and approvals when required
• Ensure authorized personnel participate in project activities
• Comply with applicable laws and regulations
• Make payments according to agreed terms

6. Payment Terms

6.1 Fees and Payment

Payment terms will be specified in individual service agreements. Unless otherwise agreed:

• Invoices are payable within 30 days of issue
• Late payments may incur interest charges
• All fees are exclusive of applicable taxes
• Payment disputes must be raised within 30 days of invoice date

6.2 Expenses

Client will reimburse reasonable expenses incurred in providing services, including travel, accommodation, and third-party licenses, as agreed in writing.

7. Intellectual Property

7.1 Client IP

Clients retain ownership of their pre-existing intellectual property and data provided to us.

7.2 Our IP

We retain ownership of our pre-existing intellectual property, methodologies, and general knowledge.

7.3 Work Product

Ownership of deliverables and work product will be specified in individual service agreements.

8. Confidentiality

Both parties agree to:

• Keep confidential information strictly confidential
• Use confidential information only for the purposes of the engagement
• Implement appropriate security measures to protect confidential information
• Return or destroy confidential information upon request
• Maintain confidentiality obligations for 5 years after termination

9. Warranties and Disclaimers

9.1 Our Warranties

We warrant that we will provide services with reasonable skill and care in accordance with industry standards.

9.2 Disclaimers

Except as expressly stated, we provide services "as is" and disclaim all other warranties, express or implied, including:

12. Termination

Either party may terminate an engagement with 30 days written notice.

12.2 Termination for Cause

Either party may terminate immediately for material breach that remains uncured after 15 days written notice.

12.3 Effect of Termination

Upon termination:

• Client shall pay for services performed to the termination date
• Each party shall return confidential information
• Survival clauses shall remain in effect

13. Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including natural disasters, government actions, pandemics, or other force majeure events.
